Denham Cricket Club Rules

 

1. The Club

a) That the Club shall be known as Denham Cricket Club.

b) That the colours shall be maroon and gold with a white swan crest.

c) That the purposes of the Club are to promote the amateur sport of cricket in the Parish of Denham and community participation in the same.   

                                                              

d) That a copy of these Rules shall be sent to each member on their election, and they shall be bound thereby.

2. Officers

a) The Principal Officers of the Club shall be:

- Chairman
- Club Captain
- Hon. Secretary
- Hon. Treasurer

b) All Officers of the Club shall be members of the Club

c) The Committee shall comprise of Club Officials as follows:

Chairman
House/Bar Chairman

Ground Secretary

Hon. Treasurer   

Fixture Secretary

League Representative                               

Hon. Secretary    

Social Secretary 

Current Team Captains                          

Club Captain
Team Secretary

Colts Manager

d) The Committee to be made up of a minimum of two thirds playing members.

e) Six members shall constitute a Committee Quorum, including Officers or Deputies plus two others.

f) All members of the Committee shall retire each year and shall be eligible for re- election.

g) The Committee shall have power to co-opt additional members for specific purposes, and to fill any vacancy that occurs within the Committee.

3. Annual General Meeting

a) The Financial Year shall close on 3lst October and the Annual General Meeting shall take place during the month of November for the purpose of electing the Officers and Committee, receiving the audited accounts and transacting the general business of the Club.

b) That the Hon. Secretary, when desired by the Committee or requested in writing by twelve members of the Club, shall convene an Extraordinary General Meeting for the consideration of such business only as shall be mentioned in such request and that such matters shall be decided by a majority of two-thirds of the members present and voting.

c) That fourteen days notice of every Annual General or Extraordinary General Meeting shall be given in writing to each member.

d) Ten members shall constitute a Quorum at General or Extraordinary General Meetings.

4. Membership

a) There shall be the following classes of membership all of which shall be entitled to attend all General Meetings of the Club. - Full playing members - Genuine full time students under 21 - Schoolchildren - Social Members. No member shall be entitled to vote at a General Meeting unless they have been a fully elected member of the Club for three months.

b) Membership shall be open to all, irrespective of age, gender, disability, nationality, ethnicity, colour, social status, sexual orientation, religion or other beliefs. However, limitation of membership according to available facilities is allowable on a non-discriminatory basis. 

 

c) That the different classes of membership and subscription shall be on a non-discriminatory and fair basis. The Club will keep subscriptions at levels that will not pose a significant obstacle to people participating.

 

d) Every application for membership shall be proposed and seconded and shall be considered by the Committee.  A minimum of seven days shall elapse between the receipt of an application for membership of the Club and the acceptance of such an application.  The Club Committee may refuse membership, or remove it, only for good cause, such as conduct or character likely to bring the Club or the sport into disrepute. Appeal against refusal or removal may be made to the members in General Meeting.

e) That the Committee shall have the power to elect Honorary Vice Presidents at their discretion.

f) Vice Presidents shall be entitled to attend all General Meetings and to vote thereat.

g) The Committee shall have the privilege of recommending to an Annual General Meeting the election of Honorary Life Members.

h) All visiting teams to the Club shall be deemed to be honorary members for the day on which the match is played and shall be entitled to all facilities of the Club for that day.

 i) The number of members not entitled to vote at a General Meeting of the Club    shall not exceed 15% of the total membership of the Club.

5. Subscriptions

a) That the annual subscription for each class of member shall be applied to the following categories: -

- Full playing members

- Genuine full time student under 21s

- Schoolchildren

- Social Members

b) The amount of subscription and match fees to be levied shall be subject to confirmation at each Annual General Meeting and shall only be amended by a vote of two-thirds of the members present and voting.

c) Members are liable for their subscription for any particular season unless they have resigned in writing to the Hon. Secretary before 1st June in that season.

d) Annual subscriptions paid before 1st June may attract a discount at the discretion of the committee.

e) Any member whose subscription or an excessive part thereof shall be unpaid after 1st July or within one month of election as the case may be, shall be liable to suspension at the discretion of the Committee.

f) New members joining after 1st July are entitled to a reduced subscription payment of two-thirds of the existing annual subscription.

6. Alteration of Rules

a) That the rules of the Club may be altered only at an Annual General Meeting or an Extraordinary General meeting convened for this purpose. Such proposed alteration shall be notified in the circular convening the meeting, excluding the provision of Rule 5(b).

b) A majority of two-thirds of the members present and voting at any such meeting shall be required to effect any alteration of the Rules.

7. Disciplining of Members

That the Committee by a majority of not less than three-quarters of those present and voting shall have power at its discretion to warn, suspend or expel any member after they have had the opportunity of putting their case to the Committee, subject to their right of appeal at the next General Meeting or at an Extraordinary General meeting convened for the purpose, a majority of two-thirds of the members present at such a meeting being necessary to uphold the decision of the Committee to expel or suspend.

8. Trust Fund.

Three Trustees (normally the Chairman, Hon Secretary, and Hon Treasurer plus one ordinary member) shall be appointed to administer the Club's Trust Fund and authority of the Trustees may only make withdrawals. The Committee is empowered to appoint new Trustees in the event of the existing Trustees, who by virtue of their residence in places remote from Denham, being unable to fulfill their position.

9. Loans or Mortgage.

The Trustees nominated under Rule 8 above be authorised to obtain a loan or mortgage for the purpose of improving the facilities of the Club.

10. Bar

a) The House/Bar Chairman shall be responsible to the Officers of the Club for the running of the Club Bar.

b) The hours for opening the bar will be governed by the following limits: - Monday to Saturday 10.00 - 23.00. Sundays, Good Friday & Christmas Day 12.00 - 22.30. (Christmas – Not more than 6.5 hrs, must be closed 15.00 – 17.00 & open not more than 3.5 hrs between 17.00 & 22.30). New Year’s Eve 23.00 – 11.00

c) No intoxicating liquor shall be supplied other than to: - - A member of the said Club who has been a member for at least two - days or whose nomination or application for membership was made at least two days before his admission. - A guest of such a member bona fide entertained by him at his own expense. - A member or official of a team visiting the Club premises for the purpose of playing a cricket match

d) A list of the names and addresses of all members of the said Club shall be kept on the premises and produced on demand for inspection by a police officer in uniform.

e) No member shall be entitled to introduce more than two guests into the Club at anyone time.

f) The names and addresses of all guests and the name and address of the member signing them in shall be entered into a book maintained for that purpose, such a book to be kept on the premises and produced on demand for inspection by a police officer in uniform.

g) No intoxicating liquor shall be supplied for consumption off the premises except to a member in person.

h) No intoxicating liquor shall be supplied to a person under the age of 18 years.

11. Property and Funds

a) The property and funds of the Club cannot be used for the direct or indirect private benefit of members other than as reasonably allowed by the rules and all surplus income and profits are reinvested in the Club.

 

b) The Club may provide sporting and related social facilities, sporting equipment, coaching, courses, insurance cover, medical treatment, away-match expenses, post match refreshments and other ordinary benefits of Community Amateur Sports Clubs as provided for in the Finance Act 2002.

 

c) The Club may also in connection with the sports purposes of the Club:

 

            i) sell and supply food, drink and related sports clothing and equipment:

ii) employ members (though not for playing) and remunerate them for providing goods and services, on fair terms set by the Committee without the person concerned being present;

iii) pay for reasonable hospitality of visiting teams and guests;

                                                                     AND

iv) indemnifies the Committee and members acting properly in the course of the running of the Club against any liability incurred in the proper running of the Club (but only to the extent of its assets).

 

d) The Committee will have due regard to the law on disability  discrimination and child   protection.

12. Winding Up

a) The members may vote to wind up the Club if not less than two thirds of those present and voting support that proposal at a properly convened general meeting.

 

b) The Committee will then be responsible for the orderly winding up of the Club’s affairs.

 

c) After settling all liabilities of the Club, the Committee shall dispose of the net assets remaining to one or more of the following:

 

            i) to another Club with similar sports purposes which is a registered charity and /or

            ii) to another Club with similar sports purposes which is a registered CASC and/or

            iii) to the Club’s governing body for use by them for related community sports.

13. Priority

Where there is any conflict between any of the Rules 1b), 4b),c),d), 11 and 12 (“key Rules”) and any other rule or rules the key Rule(s) shall take priority. Interpretation of all the Rules must be consistent with the statutory requirements for CASCs (which means Community Amateur Sports Clubs as first provided for by the Finance Act 2002.
